Head of Legal (General Counsel) & UK Legal Counsel for a leading distressed asset investment group which operates in Europe. England & Wales qualification is required (minimum 7 years PQE) and English native. Spanish legal qualification (minimum 10 years PQE) and a good command of Spanish is a strong asset. Madrid or London based.


Our client is a distressed asset investment international group based in London and with operations in Spain and other European countries. Its activities are focused on purchasing and liquidating distressed receivables. It is the European investment platform of a top listed company in the USA.

It currently wishes to recruit a Head of Legal (General Counsel) & UK Legal Counsel to lead the group’s legal team and to provide advice to the UK business. This position can be based either in Madrid or in London indistinctly. The group’s legal team works closely with the parent company’s General Counsel and a team of 10+ lawyers at its head office in the USA.

The lawyer will lead the group’s legal team across several European jurisdictions and will also be responsible for all legal matters relating to the UK business. The candidate will report to the firm’s Chief Financial Officer of the group based in London.

In particular, the candidate will provide legal advice with regard to:

  1. Transactions:

  • A range of transactions such as asset acquisitions in the UK, debt financing, M&A and group restructuring; this will include management of transactions and drafting and negotiating transaction documents under a risk-controlled approach to drive the company’s commercial objectives;
  • Co-ordinating internal and external financing for transactions with the legal team at the group’s parent company in the USA.

  1. Commercial contracts:

  • Leading negotiation of commercial contracts, including contracts with servicers and suppliers;
  • Managing an efficient governance process regarding input from key contributors, sign off and document management;
  • Communicating concise summaries of key terms to commercial teams.

  1. Company house-keeping and governancel:

  • Acting as Company Secretary of the relevant UK subsidiaries;
  • Preparing board and shareholders meetings resolutions;
  • Preparing and filing the necessary documents before the UK Companies House and the UK Financial Conduct Authority, and any documents required as part of a NASDAQ listed and SEC registered group of companies;
  • Assuming responsibility, in conjunction with the group’s CFO, over the implementation and maintainance of an appropriate corporate governance structure.

  1. Coordination and Management:

  • Managing and coordinating the multi-jurisdictional legal function, including a team of two lawyers based in Spain and some in other countries;
  • Managing the legal relationship with contracting parties in the UK;
  • Documenting intra-group loans and management processes.


The candidate must be an England & Wales qualified solicitor with at least 7 years PQE and be English native. A Spanish legal qualification of at least 10 years PQE and a good command of Spanish would be a an assset.

The right candidate will be a true business partner and shall have a clear focus on legal risk management. An understanding of the relevant UK applicable law and regulations would be highly regarded.

The candidate must have a professional experience of approximately 7 years PQE in Corporate, Banking Law and Insolvency, with significant experience in leading transactions. Experience in financial services, especially in debt investment, is a distinct advantage. Previous in-house experience and demonstrable understanding of similar responsibilities are essential.

We are looking for a very rigorous senior professional, who has an eye for detail but at the same time is efficient and is able to work in a dynamic and demanding environment. In addition, the candidate must have good interpersonal skills with a "can do" attitude; excellent written and oral communication skills; ability to work independently and manage own time and workload as well as that of the wider international legal team. In addition, the candidate will be available to travel a few times a year across Europe.
